VENDOR / SELLER AGREEMENT

1. Introduction / परिचय

• English: This Vendor Agreement ("Agreement") is entered into between: Business Line Proprietorship, Office No. 211, Shivya Plaza, First Floor, City Mall 36, Mungeli Road, Bilaspur, Chhattisgarh, India ("BusinessLine", "Platform", "Company") AND The Vendor registering, listing, selling, promoting or otherwise conducting business through BusinessLine.co.in.
• हिंदी: यह विक्रेता अनुबंध ("अनुबंध") इनके बीच निष्पादित किया गया है: बिजनेस लाइन प्रोपराइटरशिप (Business Line Proprietorship), कार्यालय नंबर 211, शिव्या प्लाजा, प्रथम तल, सिटी मॉल 36, मुंगेली रोड, बिलासपुर, छत्तीसगढ़, भारत ("BusinessLine", "प्लेटफॉर्म", "कंपनी") और BusinessLine.co.in के माध्यम से पंजीकरण, लिस्टिंग, बिक्री, प्रचार या अन्य व्यावसायिक गतिविधियां संचालित करने वाले विक्रेता (Vendor)।
• English: By creating a Vendor account, listing any Product, Service or Course, the Vendor agrees to be legally bound by this Agreement.
• हिंदी: विक्रेता अकाउंट बनाकर, किसी भी उत्पाद, सेवा या कोर्स को लिस्ट करके, विक्रेता कानूनी रूप से इस अनुबंध से बंधने के लिए सहमत होता है।

2. Purpose of Agreement / अनुबंध का उद्देश्य

• English: BusinessLine provides a technology platform that enables Vendors to: Sell Physical Products, Sell Digital Products, Sell Courses, Sell Services, Receive Orders, Use Affiliate Marketing, Offer Local Pickup, Offer Local Delivery, Offer National Delivery, and Accept Price Negotiation Requests.
• हिंदी: BusinessLine एक तकनीकी प्लेटफॉर्म प्रदान करता है जो विक्रेताओं को निम्नलिखित सुविधाएं देता है: भौतिक उत्पादों की बिक्री, डिजिटल उत्पादों की बिक्री, कोर्सेस की बिक्री, सेवाओं की बिक्री, ऑर्डर प्राप्त करना, एफिलिएट मार्केटिंग का उपयोग, स्थानीय पिकअप (Local Pickup) की पेशकश, स्थानीय डिलीवरी की पेशकश, राष्ट्रीय डिलीवरी की पेशकश, और मूल्य पर बातचीत (Bargaining) के अनुरोधों को स्वीकार करना।
• English: BusinessLine is not generally the owner of Vendor inventory.
• हिंदी: BusinessLine सामान्यतः विक्रेता के इन्वेंट्री (माल/स्टॉक) का मालिक नहीं होता है।

3. Vendor Eligibility / विक्रेता की पात्रता

• English: Vendor must be at least 18 years old, have legal authority to conduct business, provide accurate registration information, and complete KYC verification when requested.
• हिंदी: विक्रेता की आयु कम से कम 18 वर्ष होनी चाहिए, व्यवसाय संचालित करने का कानूनी अधिकार होना चाहिए, सटीक पंजीकरण जानकारी प्रदान करनी चाहिए, और अनुरोध किए जाने पर केवाईसी (KYC) सत्यापन पूरा करना चाहिए।
• English: BusinessLine may reject any Vendor application without assigning any reason.
• हिंदी: BusinessLine बिना कोई कारण बताए किसी भी विक्रेता के आवेदन को अस्वीकार कर सकता है।

4. Vendor Account / विक्रेता अकाउंट

• English: Vendor shall maintain accurate profile information, keep login credentials confidential, update contact information when changed, and ensure information remains current and correct.
• हिंदी: विक्रेता को अपनी प्रोफ़ाइल की सटीक जानकारी बनाए रखनी होगी, लॉगिन क्रेडेंशियल (पासवर्ड आदि) गोपनीय रखना होगा, संपर्क जानकारी बदलने पर उसे अपडेट करना होगा, और यह सुनिश्चित करना होगा कि जानकारी वर्तमान और सही रहे।
• English: Vendor shall be solely responsible for all activities conducted through the Vendor account.
• हिंदी: विक्रेता के अकाउंट के माध्यम से संचालित होने वाली सभी गतिविधियों के लिए विक्रेता स्वयं पूरी तरह से जिम्मेदार होगा।

5. KYC Requirements / केवाईसी आवश्यकताएं

• English: BusinessLine may request: Individual Vendors to provide Aadhaar Card, PAN Card, Bank Details, Mobile Verification, and Email Verification.
• हिंदी: BusinessLine अनुरोध कर सकता है: व्यक्तिगत विक्रेताओं (Individual Vendors) से [Aadhaar Omitted] कार्ड, पैन (PAN) कार्ड, बैंक विवरण, मोबाइल सत्यापन और ईमेल सत्यापन प्रदान करने के लिए।
• English: Business Vendors may be required to provide: GST Registration (if applicable), PAN, Partnership Documents, LLP Documents, Company Registration Documents, and Authorized Signatory Details.
• हिंदी: व्यावसायिक विक्रेताओं (Business Vendors) से मांग की जा सकती है: जीएसटी (GST) पंजीकरण (यदि लागू हो), पैन (PAN), साझेदारी दस्तावेज़ (Partnership Documents), एलएलपी (LLP) दस्तावेज़, कंपनी पंजीकरण दस्तावेज़ और अधिकृत हस्ताक्षरकर्ता के विवरण।
• English: Failure to complete KYC may result in suspension of selling privileges.
• हिंदी: केवाईसी (KYC) पूरा न करने के परिणामस्वरूप बिक्री के विशेषाधिकारों को निलंबित किया जा सकता है।

6. Product Listings / उत्पाद लिस्टिंग

• English: Vendor agrees to list only genuine products, provide accurate descriptions, upload authentic images, disclose material information, and avoid misleading claims.
• हिंदी: विक्रेता केवल वास्तविक उत्पादों को लिस्ट करने, सटीक विवरण प्रदान करने, असली तस्वीरें अपलोड करने, महत्वपूर्ण जानकारी का खुलासा करने और भ्रामक दावों से बचने के लिए सहमत है।
• English: Vendor shall be solely responsible for all listing content.
• हिंदी: लिस्टिंग की सभी सामग्रियों (Content) के लिए विक्रेता पूरी तरह से जिम्मेदार होगा।

7. Service Listings / सेवा लिस्टिंग

• English: Vendors offering services must clearly define service scope, state deliverables accurately, mention completion timelines, and disclose limitations.
• हिंदी: सेवाएं देने वाले विक्रेताओं को सेवा के दायरे (Scope) को स्पष्ट रूप से परिभाषित करना होगा, डिलिवरेबल्स (दिए जाने वाले कार्य) को सटीक रूप से बताना होगा, काम पूरा होने की समयसीमा का उल्लेख करना होगा, और सीमाओं का खुलासा करना होगा।
• English: BusinessLine shall not guarantee service quality.
• हिंदी: BusinessLine सेवा की गुणवत्ता की गारंटी नहीं देगा।

8. Course Listings / कोर्स लिस्टिंग

• English: Course Creators shall own or legally license course content, ensure content is lawful, and avoid copyright infringement.
• हिंदी: कोर्स निर्माताओं (Course Creators) के पास कोर्स सामग्री का मालिकाना हक या कानूनी लाइसेंस होना चाहिए, यह सुनिश्चित करना होगा कि सामग्री वैध हो, और कॉपीराइट के उल्लंघन से बचना होगा।
• English: Course Creators retain ownership of course content; BusinessLine receives a limited right to market and distribute the course through the Platform.
• हिंदी: कोर्स निर्माता कोर्स सामग्री का स्वामित्व अपने पास रखते हैं; BusinessLine को प्लेटफॉर्म के माध्यम से कोर्स का विपणन (Market) और वितरण (Distribute) करने का एक सीमित अधिकार प्राप्त होता है।

9. Pricing / मूल्य निर्धारण

• English: Vendor shall determine Product Price, Service Price, Course Price, Delivery Charges, Discounts, and Promotional Offers. Vendor is solely responsible for pricing accuracy.
• हिंदी: विक्रेता उत्पाद की कीमत, सेवा की कीमत, कोर्स की कीमत, डिलीवरी शुल्क, छूट और प्रचार प्रस्तावों (Promotional Offers) को निर्धारित करेगा। मूल्य निर्धारण की सटीकता के लिए विक्रेता स्वयं जिम्मेदार है।
• English: BusinessLine may refuse listings containing obvious pricing errors.
• हिंदी: BusinessLine उन लिस्टिंग्स को अस्वीकार कर सकता है जिनमें स्पष्ट रूप से मूल्य निर्धारण की त्रुटियां (गलतियां) हों।

10. Commission Structure / कमीशन संरचना

• English: Vendor acknowledges that BusinessLine may charge Product Commission (Product/Category-wise or Fixed), Service Commission (Service/Category-wise or Fixed), and Course Commission (Course/Category-wise or Fixed).
• हिंदी: विक्रेता स्वीकार करता है कि BusinessLine उत्पाद कमीशन (उत्पाद/श्रेणी-वार या निश्चित), सेवा कमीशन (सेवा/श्रेणी-वार या निश्चित), और कोर्स कमीशन (कोर्स/श्रेणी-वार या निश्चित) ले सकता है।
• English: Commission rates may differ among Vendors, categories, campaigns, and product types. BusinessLine may revise commission rates with reasonable notice.
• हिंदी: विभिन्न विक्रेताओं, श्रेणियों, अभियानों (Campaigns) और उत्पादों के प्रकारों के बीच कमीशन की दरें भिन्न हो सकती हैं। BusinessLine उचित सूचना के साथ कमीशन दरों में संशोधन कर सकता है।

11. Affiliate Commissions / एफिलिएट कमीशन

• English: Vendor agrees that BusinessLine may operate an Affiliate Program. Affiliate commissions may be paid from Vendor sales according to Product Settings, Category Settings, Vendor Settings, and Promotional Campaigns.
• हिंदी: विक्रेता सहमत है कि BusinessLine एक एफिलिएट प्रोग्राम संचालित कर सकता है। उत्पाद सेटिंग्स, श्रेणी सेटिंग्स, विक्रेता सेटिंग्स और प्रचार अभियानों के अनुसार विक्रेता की बिक्री से एफिलिएट कमीशन का भुगतान किया जा सकता है।
• English: Vendor authorizes BusinessLine to deduct applicable affiliate commissions from eligible sales.
• हिंदी: विक्रेता पात्र बिक्री से लागू एफिलिएट कमीशन काटने के लिए BusinessLine को अधिकृत करता है।

12. Vendor as Affiliate / एफिलिएट के रूप में विक्रेता

• English: Vendor may also register as an Affiliate. Where Vendor promotes another Vendor's listing using approved referral methods, Vendor shall be treated as an Affiliate for such transactions, and Affiliate Terms and Conditions shall apply.
• हिंदी: विक्रेता स्वयं को एक एफिलिएट के रूप में भी पंजीकृत कर सकता है। जहां विक्रेता स्वीकृत रेफ़रल विधियों का उपयोग करके किसी अन्य विक्रेता की लिस्टिंग का प्रचार करता है, वहां ऐसे लेनदेन के लिए विक्रेता को एफिलिएट माना जाएगा, और एफिलिएट नियम व शर्तें लागू होंगी।

13. Order Management / ऑर्डर प्रबंधन

• English: Vendor shall accept or reject orders promptly, maintain inventory accuracy, fulfill accepted orders, and update order status accurately.
• हिंदी: विक्रेता को तुरंत ऑर्डर्स को स्वीकार या अस्वीकार करना होगा, इन्वेंट्री की सटीकता बनाए रखनी होगी, स्वीकृत ऑर्डर्स को पूरा करना होगा, और ऑर्डर की स्थिति (Status) को सटीक रूप से अपडेट करना होगा।
• English: Repeated order cancellations may result in penalties or suspension.
• हिंदी: बार-बार ऑर्डर रद्द करने के परिणामस्वरूप जुर्माना या खाता निलंबन हो सकता है।

14. Delivery Options / डिलीवरी विकल्प

• English: Vendor may choose Store Pickup (Customer collects order directly), Local Delivery (Vendor delivers within selected area), or National Delivery (Vendor ships through courier partners).
• हिंदी: विक्रेता स्टोर पिकअप (ग्राहक सीधे ऑर्डर लेता है), स्थानीय डिलीवरी (विक्रेता चयनित क्षेत्र के भीतर वितरित करता है), या राष्ट्रीय डिलीवरी (विक्रेता कूरियर भागीदारों के माध्यम से भेजता है) चुन सकता है।
• English: Vendor shall ensure delivery commitments are realistic and accurate.
• हिंदी: विक्रेता यह सुनिश्चित करेगा कि डिलीवरी की प्रतिबद्धताएं यथार्थवादी और सटीक हों।

15. Bargaining Feature / बारगेनिंग (मोलभाव) सुविधा

• English: BusinessLine may provide a bargaining system. Vendor may enable or disable Bargaining.
• हिंदी: BusinessLine एक बारगेनिंग (मोलभाव) प्रणाली प्रदान कर सकता है। विक्रेता बारगेनिंग को सक्षम (Enable) या अक्षम (Disable) कर सकता है।
• English: When enabled, Vendor may Accept Offers, Reject Offers, or Submit Counter Offers. Vendor is not obligated to accept customer price requests.
• हिंदी: सक्षम होने पर, विक्रेता ऑफ़र स्वीकार कर सकता है, ऑफ़र अस्वीकार कर सकता है, या काउंटर ऑफ़र (जवाबी प्रस्ताव) सबमिट कर सकता है। विक्रेता ग्राहक के मूल्य अनुरोधों को स्वीकार करने के लिए बाध्य नहीं है।

16. Returns and Refunds / वापसी और रिफंड

• English: Vendor may establish Return Policies, Replacement Policies, and Warranty Policies. Such policies must be lawful, clearly disclosed, and visible to customers.
• हिंदी: विक्रेता वापसी नीतियां, प्रतिस्थापन नीतियां और वारंटी नीतियां स्थापित कर सकता है। ऐसी नीतियां कानूनी होनी चाहिए, स्पष्ट रूप से प्रकट की जानी चाहिए और ग्राहकों को दिखाई देनी चाहिए।
• English: Vendor remains responsible for handling valid return and refund requests.
• हिंदी: वैध वापसी और रिफंड अनुरोधों को संभालने के लिए विक्रेता ही जिम्मेदार रहेगा।

17. Tax Responsibility / कर (टैक्स) जिम्मेदारी

• English: Vendor shall be solely responsible for GST Compliance, Income Tax Compliance, TDS Obligations, and Applicable Government Filings. BusinessLine does not provide tax advice.
• हिंदी: विक्रेता माल एवं सेवा कर (GST) अनुपालन, आयकर अनुपालन, टीडीएस (TDS) दायित्वों और लागू सरकारी फाइलिंग के लिए पूरी तरह से जिम्मेदार होगा। BusinessLine टैक्स संबंधी सलाह प्रदान नहीं करता है।

18. Prohibited Products / प्रतिबंधित उत्पाद

• English: Vendor shall not sell: Illegal Drugs, Counterfeit Goods, Pirated Software, Stolen Property, Explosives, Weapons, Gambling Services, Pyramid Scheme Products, or Illegal Financial Products.
• हिंदी: विक्रेता निम्नलिखित वस्तुओं की बिक्री नहीं करेगा: अवैध ड्रग्स, नकली सामान (Counterfeit Goods), पाइरेटेड सॉफ्टवेयर, चोरी की संपत्ति, विस्फोटक, हथियार, जुआ सेवाएं, पिरामिड योजना उत्पाद, या अवैध वित्तीय उत्पाद।
• English: BusinessLine may remove prohibited listings without notice.
• हिंदी: BusinessLine बिना किसी पूर्व सूचना के प्रतिबंधित लिस्टिंग्स को हटा सकता है।

19. Customer Communication / ग्राहक संचार

• English: Vendor shall communicate professionally, avoid harassment, avoid misleading statements, and respond to support requests reasonably.
• हिंदी: विक्रेता पेशेवर तरीके से संवाद करेगा, उत्पीड़न से बचेगा, भ्रामक बयानों से बचेगा और सहायता अनुरोधों का उचित रूप से उत्तर देगा।
• English: BusinessLine may monitor communications where legally permitted.
• हिंदी: जहां कानूनी रूप से अनुमति हो, BusinessLine संचार (बातचीत) की निगरानी कर सकता है।

20. Intellectual Property / बौद्धिक संपदा

• English: Vendor represents and warrants that listings do not infringe copyrights, trademarks, or violate intellectual property rights.
• हिंदी: विक्रेता प्रतिनिधित्व और वारंटी देता है कि लिस्टिंग किसी कॉपीराइट, ट्रेडमार्क का उल्लंघन नहीं करती है, या बौद्धिक संपदा अधिकारों का उल्लंघन नहीं करती है।
• English: Vendor shall indemnify BusinessLine for any IP claims arising from Vendor content.
• हिंदी: विक्रेता की सामग्री (Content) से उत्पन्न होने वाले किसी भी बौद्धिक संपदा (IP) दावों के लिए विक्रेता BusinessLine की क्षतिपूर्ति (Indemnify) करेगा।

21. Data Protection / डेटा सुरक्षा

• English: Vendor shall protect customer information, use customer data only for order fulfillment, not sell customer information, and not share customer information without authorization.
• हिंदी: विक्रेता ग्राहक की जानकारी की रक्षा करेगा, ग्राहक डेटा का उपयोग केवल ऑर्डर पूरा करने के लिए करेगा, ग्राहक की जानकारी नहीं बेचेगा, और प्राधिकरण के बिना ग्राहक की जानकारी साझा नहीं करेगा।
• English: Violation may result in immediate account termination.
• हिंदी: उल्लंघन के परिणामस्वरूप खाता तुरंत समाप्त (Terminate) किया जा सकता है।

22. Vendor Warranties / विक्रेता की वारंटियाँ

• English: Vendor represents that information provided is accurate, products are genuine, services are lawful, courses are legally owned or licensed, and listings comply with applicable laws.
• हिंदी: विक्रेता प्रतिनिधित्व करता है कि प्रदान की गई जानकारी सटीक है, उत्पाद वास्तविक हैं, सेवाएं वैध हैं, कोर्सेस कानूनी रूप से स्वामित्व या लाइसेंस प्राप्त हैं, और लिस्टिंग लागू कानूनों का अनुपालन करती है।

23. Suspension / निलंबन

• English: BusinessLine may suspend Vendor accounts for fraud, excessive complaints, fake products, misleading listings, KYC failures, or policy violations. BusinessLine's decision shall be final.
• हिंदी: BusinessLine धोखाधड़ी, अत्यधिक शिकायतों, नकली उत्पादों, भ्रामक लिस्टिंग, केवाईसी विफलता, या नीति के उल्लंघनों के लिए विक्रेता खातों को निलंबित कर सकता है। BusinessLine का निर्णय अंतिम होगा।

24. Termination / समाप्ति

• English: Either party may terminate the relationship. BusinessLine may immediately terminate accounts involved in fraud, illegal activities, or serious policy violations. Outstanding obligations shall survive termination.
• हिंदी: दोनों में से कोई भी पक्ष इस संबंध को समाप्त कर सकता है। BusinessLine धोखाधड़ी, अवैध गतिविधियों, या गंभीर नीति उल्लंघनों में शामिल खातों को तुरंत समाप्त कर सकता है। बकाया दायित्व समाप्ति के बाद भी बने रहेंगे।

25. Limitation of Liability / दायित्व की सीमा

• English: BusinessLine shall not be liable for lost profits, indirect damages, customer disputes, product defects, or service failures, except where required by law.
• हिंदी: कानून द्वारा आवश्यक मामलों को छोड़कर, BusinessLine खोए हुए लाभ, अप्रत्यक्ष नुकसान, ग्राहक विवादों, उत्पाद दोषों, या सेवा विफलताओं के लिए उत्तरदायी नहीं होगा।

26. Indemnity / क्षतिपूर्ति

• English: Vendor agrees to indemnify and hold harmless BusinessLine, its owner, employees, contractors and affiliates against claims arising from Vendor actions, product defects, service disputes, intellectual property violations, or tax violations.
• हिंदी: विक्रेता, विक्रेता के कार्यों, उत्पाद दोषों, सेवा विवादों, बौद्धिक संपदा के उल्लंघनों, या कर (टैक्स) के उल्लंघनों से उत्पन्न होने वाले दावों के खिलाफ BusinessLine, उसके मालिक, कर्मचारियों, ठेकेदारों और सहयोगियों को क्षतिरहित रखने और क्षतिपूर्ति करने के लिए सहमत है।

27. Dispute Resolution / विवाद समाधान

• English: Parties shall first attempt amicable resolution. If unresolved, disputes may be referred to arbitration under applicable Indian law.
• हिंदी: पक्ष पहले सौहार्दपूर्ण समाधान का प्रयास करेंगे। यदि समाधान नहीं होता है, तो विवादों को लागू भारतीय कानून के तहत मध्यस्थता (Arbitration) के लिए भेजा जा सकता है।

28. Governing Law / शासी कानून

• English: This Agreement shall be governed by the laws of India. Jurisdiction: Bilaspur, Chhattisgarh, India.
• हिंदी: यह अनुबंध भारत के कानूनों द्वारा शासित होगा। क्षेत्राधिकार: बिलासपुर, छत्तीसगढ़, भारत।

29. Modifications / संशोधन

• English: BusinessLine may update this Agreement periodically. Continued use of the Platform shall constitute acceptance of revised terms.
• हिंदी: BusinessLine समय-समय पर इस अनुबंध को अपडेट कर सकता है। प्लेटफॉर्म का निरंतर उपयोग संशोधित शर्तों की स्वीकृति माना जाएगा।
